KEENPALS TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern the use of the KeenPals platform, including its website, mobile application, services, and related offerings (collectively, the “Platform”).

By accessing, registering, or using KeenPals, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. ABOUT KEENPALS

KeenPals is a business platform that provides a reseller-based dropshipping model, enabling approved resellers to sell products while KeenPals manages stock, packaging, and delivery logistics.

KeenPals is a partnership business duly operating under applicable laws.

2. DEFINITIONS

  • “KeenPals” refers to KeenPals and its management.
  • “Reseller” refers to any approved individual or business using the Platform to sell products.
  • “Customer” refers to the end buyer purchasing through a reseller.
  • “Order” refers to a product request placed via the Platform.
  • “Wholesale Price” refers to the base product price set by KeenPals.
  • “Profit” refers to the amount added by the reseller above the wholesale price.
  • “SOPs” refers to Standard Operating Procedures issued by KeenPals.

3. ELIGIBILITY & ACCOUNT REGISTRATION

3.1 Users must be at least 18 years old to register.
3.2 Registration is by approval only. KeenPals reserves the right to accept or reject any application.
3.3 Users must provide accurate, complete, and up-to-date information.
3.4 Sharing login credentials or using another person’s account is strictly prohibited.

4. ACCOUNT APPROVAL & ONBOARDING

4.1 All resellers must complete onboarding, training, and acceptance of SOPs before access is granted.
4.2 Acceptance of onboarding agreements is legally binding and recorded digitally.
4.3 KeenPals reserves the right to suspend or revoke access for non-compliance.

5. BUSINESS MODEL CLARIFICATION

5.1 KeenPals is not an affiliate marketing platform.
5.2 Resellers operate as independent sellers, setting their own profit margins.
5.3 KeenPals does not guarantee reseller income, sales volume, or profit levels.

6. ORDER TYPES

KeenPals supports three (3) order types:

6.1 Normal Orders (COD)

  • Applicable to Accra, Tema, Kasoa, and selected nearby areas.
  • Payment is collected from the customer upon delivery.

6.2 Reserved Orders (Pay-First)

  • Resellers must pay the full wholesale price upfront.
  • Orders are final and not auto-cancellable.
  • Stock is deducted immediately.

6.3 Outside Accra Orders (Pay-First)

  • Full wholesale payment is required before processing.
  • Delivery charges are handled separately.
  • KeenPals does not bear payment risk.

7. PRICING & PROFIT CONTROL

7.1 KeenPals displays wholesale prices only.
7.2 Resellers independently decide their profit margins.
7.3 KeenPals does not interfere with reseller pricing decisions.
7.4 Unrealistic pricing that damages brand integrity may be flagged.

8. STOCK AVAILABILITY

8.1 Stock displayed on the Platform is live and dynamic.
8.2 Availability may change due to concurrent orders.
8.3 Resellers must confirm size and color before placing orders.
8.4 KeenPals is not liable for stock changes prior to order confirmation.

9. PACKAGING & DELIVERY

9.1 KeenPals handles packaging and dispatch internally.
9.2 Deliveries are executed by trained riders or partner logistics providers.
9.3 Delivery timelines are estimates and may be affected by traffic, weather, or operational constraints.

10. RETURNS, REJECTIONS & FAILURES

10.1 Full Rejection: Customer rejects all items in an order.
10.2 Partial Rejection: Customer accepts some items and rejects others.
10.3 Reseller profits are calculated only on accepted items.
10.4 Rejected items are returned to stock after inspection.
10.5 Repeated failed deliveries may attract penalties or restrictions.

11. PAYMENT & PAYOUTS

11.1 Payouts to resellers are processed through approved methods.
11.2 KeenPals may use bulk payment or automated payout systems.
11.3 Payout timelines depend on order completion and reconciliation.
11.4 KeenPals reserves the right to withhold payouts pending investigation of disputes or fraud.

12. COUPONS & INCENTIVES

12.1 KeenPals may issue coupons, bonuses, or incentives at its discretion.
12.2 Coupons have conditions and expiry dates.
12.3 Abuse of incentives may lead to account suspension.

13. RESELLER RESPONSIBILITIES

Resellers must:

  • Act professionally with customers.
  • Follow all SOPs and policies.
  • Treat all orders as firm commitments.
  • Avoid misleading marketing or false claims.
  • Protect customer data and privacy.

14. PROHIBITED ACTIVITIES

The following are strictly prohibited:

  • Side selling or competing interests using KeenPals data.
  • Fraud, manipulation, or system abuse.
  • False orders or intentional cancellations.
  • Harassment, abuse, or reputational damage.

15. INTELLECTUAL PROPERTY

15.1 All content, systems, logos, and designs belong to KeenPals.
15.2 Users may not copy, modify, or redistribute without permission.

16. DATA PROTECTION & PRIVACY

16.1 KeenPals processes personal data in line with applicable data protection laws.
16.2 Users consent to data collection necessary for service delivery.
16.3 Full details are outlined in the Privacy Policy.

17. SUSPENSION & TERMINATION

17.1 KeenPals may suspend or terminate accounts for:

  • SOP violations
  • Fraud or abuse
  • Reputational risk
  • Legal compliance issues

17.2 Termination does not release users from outstanding obligations.

18. LIMITATION OF LIABILITY

18.1 KeenPals is not liable for:

  • Lost profits
  • Indirect or consequential damages
  • Customer disputes beyond its control

18.2 Liability is limited to the extent permitted by law.

19. INDEMNITY

Users agree to indemnify KeenPals against losses arising from:

  • Misuse of the Platform
  • Legal claims from customers
  • Violation of these Terms

20. FORCE MAJEURE

KeenPals is not liable for failure caused by events beyond reasonable control, including but not limited to natural disasters, strikes, or system outages.

21. MODIFICATIONS

21.1 KeenPals may update these Terms at any time.
21.2 Continued use of the Platform constitutes acceptance of revised Terms.

22. GOVERNING LAW

These Terms are governed by the laws of the Republic of Ghana.
